Terms of Service

Welcome to TradeHub. These Terms of Service ("Terms") govern your access to and use of the TradeHub platform, including our website at withtradehub.com, browser extension, and all related services (collectively, the "Service"), operated by TradeHub, LLC ("TradeHub," "we," "us," or "our").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old to use TradeHub. By using the Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

2. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate and complete information when creating your account and to keep it up to date. You must notify us immediately at security@withtradehub.com if you suspect unauthorized access to your account.

3. The Service

TradeHub provides a product sourcing, collaboration, and presentation platform designed for interior designers and design professionals. The Service includes:

• A browser extension for clipping product information from third-party websites
• Product organization through boards, projects, and libraries
• Client-facing proposals with approval workflows and e-signatures
• Presentations and visual boards for client communication
• AI-powered design tools ("AI Studio") for image generation and editing
• A secure credential vault for storing trade portal login information
• Team collaboration and multi-user organizations
• Payment collection and invoice management

4. AI Studio & Third-Party AI Services

AI Studio features are powered by third-party artificial intelligence providers, including Google (Gemini), OpenAI, and Flux. When you use AI Studio:

• Your prompts and input images may be processed by these third-party providers to generate outputs.
• AI-generated outputs are provided "as is." We do not guarantee accuracy, originality, or fitness for any particular purpose.
• You are responsible for reviewing and ensuring that AI-generated content is appropriate before sharing it with clients or using it commercially.
• Your use of AI features is also subject to the applicable usage policies of the underlying AI providers.

5. Browser Extension

The TradeHub browser extension allows you to clip product information from third-party websites. You acknowledge that:

• We are not affiliated with the third-party websites you visit or clip from.
• Product information clipped from third-party sites (pricing, availability, descriptions) may change at any time and we are not responsible for its accuracy.
• You are responsible for complying with the terms of use of any third-party website you access through or in connection with the extension.

6. Your Content

You retain full ownership of all content you upload, create, or store on TradeHub ("Your Content"), including product images, boards, proposals, presentations, and any other materials. We do not claim any ownership or license to Your Content beyond what is necessary to operate and provide the Service (e.g., storing, displaying, and transmitting Your Content as directed by you).

You represent that you have the right to upload and use all content you provide through the Service, and that Your Content does not infringe on the intellectual property rights of any third party.

7. Credential Vault

The credential vault feature allows you to store login credentials for third-party trade portals. Stored credentials are encrypted using AES-256 encryption. While we take reasonable measures to protect your stored credentials, you acknowledge that:

• You are responsible for the credentials you store and share within your organization.
• We are not liable for any unauthorized access to third-party accounts resulting from stored credentials.
• You must comply with the terms of service of any third-party platform whose credentials you store.

8. Subscription & Billing

TradeHub is a paid subscription service. By subscribing, you agree to the following:

• Plans: We offer monthly and annual subscription plans. Pricing is displayed at the time of purchase and may change with reasonable notice.
• Billing: Payments are processed through Stripe. By providing payment information, you authorize us to charge your payment method on a recurring basis for the subscription plan you select.
• Team seats: Additional team members are billed at the per-seat rate. Seats are billed at the time they are added.
• Cancellation: You may cancel your subscription at any time from your account settings. Upon cancellation, your access continues until the end of your current billing period. No refunds are provided for partial billing periods.
• No refunds: All fees are non-refundable except as required by applicable law.

9. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of applicable laws
• Upload or transmit malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to the Service, other accounts, or related systems
• Interfere with or disrupt the integrity or performance of the Service
• Resell, sublicense, or redistribute the Service without written permission
• Scrape, crawl, or use automated means to access the Service beyond normal use of the browser extension
• Use the Service to infringe on the intellectual property rights of others

10. Intellectual Property

TradeHub and its licensors retain all rights, title, and interest in the Service, including all software, designs, logos, trademarks, and other intellectual property. Nothing in these Terms grants you any right to use our trademarks, logos, or branding without prior written consent.

11. Termination

We may suspend or terminate your access to the Service at any time with notice if you violate these Terms or for any other reason at our reasonable discretion. Upon termination:

• Your right to access the Service ceases immediately (or at the end of the current billing period, if applicable).
• We will retain your data for 30 days to allow for recovery or reactivation, after which it will be permanently deleted.
• Provisions that by their nature should survive termination (including Limitation of Liability, Indemnification, and Governing Law) will continue to apply.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

13. Limitation of Liability

To the maximum extent permitted by law, TradeHub, LLC, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of the Service.

Our total aggregate liability for any claims arising out of or related to these Terms or the Service shall not exceed the total amount you paid to TradeHub in the twelve (12) months preceding the event giving rise to the claim.

14. Indemnification

You agree to indemnify and hold harmless TradeHub, LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

15. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws provisions. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in the State of California, and you consent to the personal jurisdiction of such courts.

16. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on the Service. Your continued use of the Service after such changes constitutes your acceptance of the updated Terms.
